Terms of Service

These Terms of Service ("Terms") govern access to and use of the CoreLink platform ("Service") provided by CoreLink, Inc. ("CoreLink"). By creating an account or using the Service you agree to these Terms.

1. Account

You must be authorized by your organization to bind it to these Terms. You are responsible for safeguarding your credentials and for all activity under your account.

2. Acceptable use

You may not (a) reverse-engineer the Service except as permitted by law; (b) use the Service to violate applicable laws or third-party rights; (c) interfere with the Service's integrity, security, or performance.

3. Fees

Fees are described in the applicable Order Form. Past-due amounts accrue interest at the lesser of 1.5% per month or the maximum allowed by law.

4. Confidentiality

Each party will protect the other's Confidential Information with the same degree of care it uses for its own (and at minimum, reasonable care).

5. Warranties and disclaimers

The Service is provided "AS IS" except as expressly warranted in the Master Subscription Agreement. CoreLink disclaims implied warranties to the maximum extent permitted by law.

6. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages. Each party's aggregate liability is capped at the fees paid in the 12 months preceding the event giving rise to the claim.

7. Governing law

These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules. Disputes are resolved in San Francisco County, California.
